Ways of Legal Regulation and Possible Interpretations of the Restructuring of a Legal Entity in Russia and the UK

A comparative study of corporate restructuring and the theories of corporate personality underlying Russian and English law.

The article examines what changes when a company is restructured: the legal entity itself, its internal relationships or the distribution of corporate control. It considers statutory reorganization in Russian law alongside mergers, acquisitions and changes in corporate control in English law.

It proposes a historical explanation for the differences between these approaches, linking them to theories of the legal entity and the unequal influence of Roman law on civil-law and common-law traditions.
